THE DEVELOPMENT

What happened

On September 28, Sangoma and BRC announced their acquisition agreement. Sangoma shareholders would receive $4.925 in cash plus 0.04767 BRC shares for each share. The announced implied value was approximately $5.225 per share, using BRC’s preceding 20-day average share price; the stock component can change in value. Sangoma would join BRC Telecom, whose businesses include Lingo and magicJack. The transaction remains subject to shareholder, court and regulatory approvals.

BRC expects to fund the transaction partly through a $215 million loan facility that also refinances existing communications-business debt. That facility is not the acquisition price. The agreement has no financing condition.

PREMIA VIEW

What this means for operators and investors

This is a useful example of a buyer seeking recurring customer relationships and broader service capabilities. For smaller communications and managed-services owners, a credible sale story should show customer retention, sustainable cash generation and how the business fits a buyer’s existing operations.

WHAT REMAINS UNCERTAIN

Closing, integration costs and the ability to preserve customers, experienced employees and service quality. BRC also flags Sangoma’s declining adjusted operating earnings and reduced guidance as risks.

DECISION QUESTIONS

Three questions stakeholders should answer now.

  1. 01
How much cash remains after debt service and necessary investment?
  2. 02
Which products, systems and customer relationships overlap?
  3. 03
How will integration protect support response times and key employees?
